Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VeraKey compliance platform and related websites (the “Service”) provided by VeraKey (“VeraKey”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

1. The Service

VeraKey is a multi-tenant tool that helps organisations organise compliance evidence once and map it across multiple frameworks. We may modify, add, or discontinue features at any time.

2. Accounts and eligibility

• You must provide accurate account information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must promptly notify us of any unauthorised use of your account.
• You must be legally capable of entering into a binding contract to use the Service.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Upload content you do not have the right to upload, or that infringes any third party’s rights.
• Attempt to gain unauthorised access to the Service, other accounts, or other organisations’ data.
• Interfere with, disrupt, or place undue load on the Service or its infrastructure.
• Reverse engineer, scrape, or copy the cross-framework mapping data or other proprietary content.

4. Your content

You retain all rights to the evidence, files, and data you and your organisation upload (“Your Content”). You grant us a limited licence to host, process, and display Your Content solely to provide the Service. You are responsible for the accuracy, legality, and appropriateness of Your Content.

5. Subscriptions, trials, and billing

• New organisations receive a 30-day free trial of the Team tier, with no card required.
• After the trial, the Service becomes read-only until a paid plan is selected; your data is not deleted.
• Paid plans consist of a base tier plus optional per-framework subscriptions, billed as described at checkout.
• Fees are billed in advance and are non-refundable except where required by law.
• We may change pricing on reasonable notice; changes do not affect the current billing period.

6. Compliance disclaimer

VeraKey is an evidence-organisation tool, not a provider of legal, regulatory, audit, or compliance advice. The frameworks, control mappings, and suggestions in the Service are provided for convenience and general guidance only. Using VeraKey does not guarantee that your organisation will pass any audit, obtain any certification, or meet any legal or regulatory requirement. You are solely responsible for verifying your own compliance and for any decisions you make based on the Service. We recommend you engage qualified professionals for compliance, legal, and audit matters.

7. Intellectual property

The Service, including its software, design, and the curated cross-framework mapping data, is owned by VeraKey and protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you.

8. Third-party services

The Service relies on third-party providers (e.g. hosting, storage, email, and payments). We are not responsible for the acts or omissions of these providers, and your use of the Service may be subject to their terms.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, VeraKey will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for all claims relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold VeraKey harmless from any claims, damages, liabilities, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe it is necessary to protect the Service or other users. On termination, your right to use the Service ends; data handling follows our Privacy Policy.

13. Governing law

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
